Terms of Service

About these terms

These terms govern ambicdigital.in, Ambic Digital proposals and orders, and access to any Ambic product or controlled pilot that incorporates them. ‘Ambic Digital’, ‘Ambic’, ‘we’ and ‘us’ currently mean the founder-operated business run by Kailash Rajpurohit in Boisar, Maharashtra, India. ‘Customer’ and ‘you’ mean the person or business using the service. By using a service, submitting an order or accepting a proposal that links to these terms, you agree to them.

Eligibility and authority

You must be at least 18 and legally able to contract. If you act for a business, you confirm that you can bind it. Product pilots may require identity, business and authority verification. Ambic may decline onboarding where the intended use, security requirements or legal authority cannot be reasonably verified.

Orders and precedence

A signed proposal, work order, statement of work or checkout record may specify scope, fees, taxes, milestones, service levels, retention and product-specific requirements. It controls over these general terms for the specific engagement where it expressly differs. Product schedules and the Acceptable Use Policy form part of these terms.

Accounts and security

You are responsible for account details, authorised users, devices, local agents and credentials. Notify Ambic promptly of suspected compromise. You may not share access outside the authorised business, bypass controls, access another tenant, reverse engineer protected services or interfere with availability. Ambic may suspend risky access while investigating.

Customer content and permissions

You retain ownership of customer content. You grant Ambic and necessary service providers a limited permission to host, copy, transform and transmit it only to provide, secure, support and legally operate the service. You confirm that you have all rights, notices and consents required for uploaded products, documents, logos, photographs, voices, likenesses and personal data.

Ambic materials and deliverables

Ambic retains its pre-existing software, templates, methods, designs, documentation and know-how. After full payment, you receive the deliverable rights stated in the order. Unless expressly assigned, this is a non-exclusive commercial licence to use accepted deliverables for the agreed business purpose. Third-party and open-source components remain governed by their own licences. AI-generated output may not be unique and exclusive copyright cannot be guaranteed.

AI and automated systems

AI and automation can produce inaccurate, incomplete, biased or unsuitable output. Catalogue images require product-fidelity approval; print layouts require visual checking; payment matches and alerts require authorised human review. You must comply with the AI & Synthetic Media Policy and preserve required disclosures and provenance.

Fees, taxes and payment

Fees, currency, taxes and due dates appear in the applicable order. Undisputed overdue amounts may pause work or access after reasonable notice. Ambic will not introduce recurring billing without an explicit subscription order and cancellation mechanism. Refund and cancellation rights are described in the Refund & Cancellation Policy and applicable mandatory law.

Availability and changes

Custom systems and pilots depend on hosting, networks, providers, devices, browsers, printers, data quality and customer configuration. Unless a signed service level says otherwise, no uninterrupted availability or response time is guaranteed. Ambic may change or discontinue evaluation features, but will not materially reduce a paid committed scope without an appropriate remedy.

Confidentiality and data

Each party must protect the other’s confidential information and use it only for the engagement. Personal data is handled under the Privacy Policy, Data Retention & Security Standard and any signed data-processing terms. Customers must not submit unnecessary sensitive data.

Warranties and disclaimers

Ambic will perform paid services with reasonable skill and care and will address material non-conformity under the agreed acceptance process. To the extent permitted by law, evaluation tools, previews and free features are provided as available without promises of fitness for a particular purpose, non-infringement, uninterrupted operation or error-free output. Nothing excludes a warranty or remedy that applicable law does not permit the parties to exclude.

Liability

Neither party is liable for indirect, special or consequential loss, lost profit, lost opportunity or avoidable loss caused by the other party’s failure to follow documented safeguards, to the extent permitted by law. Ambic’s aggregate liability arising from an engagement is limited to the fees paid for the affected service during the three months before the event, or ₹5,000 for a free service. This limit does not apply to fraud, wilful misconduct, breach of confidentiality, infringement caused by a party’s own supplied material, or liability that cannot legally be limited.

Indemnity

You will reasonably protect Ambic against a third-party claim caused by customer content, unlawful instructions, missing permissions or prohibited use, except to the extent caused by Ambic’s breach or misconduct. Ambic will notify you and allow reasonable participation in the defence. This clause does not remove non-waivable consumer rights.

Suspension and termination

Either party may terminate according to the order, for an uncured material breach after reasonable notice, or immediately for serious illegality, security risk or non-payment where permitted. On termination, access ends, accrued fees remain due, and data is exported or deleted according to the applicable order and retention policy. Terms concerning ownership, confidentiality, liability, disputes and required records survive.

Complaints and disputes

Contact hello@ambicdigital.in first so the issue can be investigated. The parties will try in good faith to resolve the dispute within 30 days. These terms are governed by Indian law. Subject to mandatory consumer forums and other non-excludable jurisdiction, courts serving Palghar district, Maharashtra have jurisdiction. Nothing prevents urgent injunctive or regulatory relief.

Changes

Material changes will be dated and published. Changes do not retroactively alter a signed paid scope without agreement. Continued use after a notified prospective change takes effect constitutes acceptance for ongoing services; you may stop using the affected service if you do not agree.
